G4 Vendor Participation Agreement
This document outlines the terms and conditions governing your participation in the G4 Event as a Vendor, Service Provider Partner, or Property Owner (“Vendor”). By clicking “I ACCEPT” at the end of this document, you agree to be bound by these terms and conditions (“Agreement”).
Please read this Agreement carefully before participating in the G4 Event, as you will be bound by its terms upon clicking “I ACCEPT.” If you do not agree with any part of this Agreement, please do not participate in the G4 Event.
I. Definitions
For the purposes of this Agreement:
“Additional Support Requirements” means any on-ground support required by the Vendor with respect to electricity, eco-friendly garbage disposal bags, water, pedestal fans, etc.
“Attendees” means individuals attending the G4 Event, either through purchased tickets or by complimentary access granted by G4.
“Booking” means the reservation of a designated space (“Booth”) by the Vendor for the Event.
“Event” means the product, service, and property showcase organized by G4, named “G4 Expo,” through itself or along with any other third party, for such duration and at such Venue as determined by G4.
“Event Day(s)” means the days on which the G4 Event is scheduled to be organized.
“Event End Date” means the date on which the G4 Event ends at the Venue.
“Event Guidelines” means the guidelines, rules, and regulations applicable to Vendors for participating in the G4 Event.
“Event Start Date” means the date from which the G4 Event commences at the Venue.
“Event Timings” means the duration of the G4 Event on the Event Day(s) during which Vendors can offer their products, services, or properties to Attendees at the Venue.
“Form” means the duly signed Vendor Participation Agreement executed by the Vendor for participation in the G4 Event.
“G4” or “We” or “Us” or “Our” means G4.Business (Sotor Easy Life Technologies LLP), a company incorporated under the Companies Act, 1956, and having its registered office at [Insert your company’s registered address here]. This expression shall, unless it be repugnant to the context or meaning thereof, be deemed to mean and include all our successors, affiliates, and assigns.
“G4 Platform” means the G4 online website and/or mobile-based application.
“Gross Payable Amount” means the sum of the total Booth rental fee(s) (as defined hereunder) plus applicable taxes for the Booth booked by the Vendor.
“Overnight Electricity Usage” means the requirement from the Vendor to have electricity at their Booth to preserve their products, materials, or operate equipment.
“Parties” means G4 and the Vendor.
“Reporting Time” means the time at which the Vendor or the Vendor Staff are to be physically present at the Booth allocated to the Vendor as per the Form.
“Restaurant Partner” means the entity/individual being the legal owner of the restaurant as mentioned in the Form for providing the Services at the Event.
“Restaurant Setup Timings” means the time that shall start from 08:00 AM 1 (one) day prior to the Event Start Date until 07:00 AM on the Event Start Date.
“Restaurant Partner Staff” means the employees, representatives, managers, agents, sub-contractor/vendor, personnel, staff, drivers, or anyone else working under the instructions of the Restaurant Partner at the Event.
“Services” means the products, services, or properties offered by the Vendor to the Attendees at the Booth during the Event.
“Set-Up Activities” means operations undertaken by a Vendor to set-up their Booth at the G4 Event.
“SRF Material” means the synthetic coated fabric which is used for the setting up of the canopy.
“Stall” means the space booked by the Vendor at the Venue for the G4 Event, as set out in the Form.
“Ticket(s)” means a reservation, whether in physical (if parties mutually agree) or in an electronic form, purchased by an Attendee on the ticketing platform, which allows the Attendee to access the Event Venue. Tickets issued at the on-ground box office will be treated as tickets purchased on the ticketing platform.
“Total Booth Rental Fee(s)” means the sum of the total rental of the Booth, exclusive of applicable taxes, which shall be paid by the Vendor to G4.
“Venue” means the location where the G4 Event is organized.
“Venue Visit Timings” means the time that shall start from 06.00 pm and end at 10:00 pm 2 (two) days prior to the Event Start Date for the Vendor.
“Vendor Staff” means the employees, representatives, managers, agents, subcontractors, personnel, staff, drivers, or anyone else working under the instructions of the Vendor at the G4 Event.
II. G4’s Obligations
Subject to the terms and commercial understanding detailed in the Form read along with this Agreement, G4 shall allow the Vendor to undertake the Set-Up Activities and participate in the G4 Event at the Venue. G4 shall provide instructions to the Vendor from time to time.
G4 shall allow the Vendor to bring to the Venue such equipment and raw materials for the Booth setup that are (i) permitted at the Venue, and/or (ii) are not prohibited by applicable laws, and/or (iii) are in compliance with the safety norms.
G4 shall communicate the necessary guidelines related to the G4 Event with the Vendor from time to time.
III. Vendor Obligations
A. Participation and Set-Up:
The Vendor shall ensure to complete the Set-Up Activities during the designated setup time, which starts from 08:00 AM 1 (one) day prior to the Event Start Date until 07:00 AM on the Event Start Date.
The Vendor shall set-up the Booth within the designated area provided in the Form. The Vendor shall not be permitted to perform any Set-Up Activities before or after the designated setup time.
The Vendor shall ensure to submit a complete list of the Vendor Staff to G4 at least 5 (five) days before the Event Start Date.
The Vendor shall ensure that the Vendor Staff carry a valid government-issued photo identity card (physical/digital) while working at the Venue during the Event Day(s).
The Vendor shall (a) undertake adequate police verification and background checks for the Vendor Staff and maintain records of the same; (b) ensure that the Vendor Staff are not intoxicated during the Event Day(s); (c) ensure that Vendor Staff always maintain a code of conduct and adhere to Venue guidelines at all times; (d) provide proper training to Vendor Staff to ensure that the Attendees are catered to efficiently.
The Vendor shall ensure to procure a valid license or permit (as applicable to their product/service/property) and GST registration for participation in the G4 Event. The Vendor shall submit a valid license/permit and GST registration to G4 at least 15 (fifteen) days before the Event Start Date. G4 reserves the right to cancel or withhold the Booking of the Vendor in lieu of non-compliance with such rules and regulations within the timelines prescribed by G4. The Vendor shall display the license/permit and GST Certificate specific to the G4 Event at their Booth.
B. Compliance and Conduct:
The Vendor warrants that it complies with and will remain compliant with applicable laws, including applicable tax laws and the applicable rules and regulations made thereunder, and any other regulations or standards and hereby agrees to indemnify G4 from any taxes/penalty/fine/loss/any other amount that may be incurred by G4 or levied on G4 by relevant authorities, due to or arising out of any activity conducted by the Vendor at the G4 Event.
The Vendor shall comply with all applicable laws, amendments, rules, and regulations made thereunder.
The Vendor shall not engage in any fraudulent activity or misuse any benefits extended by G4 to the Vendor. The Vendor shall be liable to G4 in the event G4 becomes aware of any fraudulent activity undertaken by the Vendor, and G4 reserves the right to take appropriate action against the Vendor for such fraudulent activity as per its discretion.
C. Products, Services, and Property:
The Vendor warrants that the products, services, or properties provided to the Attendees:
Are of high quality and fit for their intended purpose.
Comply with all relevant Indian legislation, including all applicable industry regulations.
D. Venue and Event Responsibilities:
The Vendor shall comply with all the terms and conditions, and guidelines applicable on the use of the Venue.
The Vendor shall be solely responsible for any loss, damage, or injury caused to third parties, including Attendees, other Vendors, and any other third party for any reason that is attributable to the Vendor or the Vendor Staff.
The Vendor shall be solely responsible for any damage to the SRF material of the canopy (that covers the top & 3 (three) sides) provided to the Vendor at their designated Booth area. The damage includes but does not limit to holes, burn marks, spots, discoloration, etc. G4 reserves the right to levy a penalty for the damages caused to the SRF material as per G4’s discretion and assessment of the damage, which shall be payable by the Vendor before leaving the Venue. Upon failure to do so, G4 will reserve the right to claim damages through appropriate legal recourse.
Any consumption or possession of contraband substances is strictly prohibited at the Booth area of the Vendor. The Vendor confirms that any such consumption or possession of the contraband substances by Vendor Staff shall be the sole responsibility of the Vendor, and G4 reserves the right to take appropriate action as per its guidelines.
The Vendor shall address and resolve all Attendees’ complaints received by G4 relating to the efficacy, quality, or any other issues relating to the Services or behavior of Vendor Staff during the G4 Event. G4 will not be responsible or liable to address any such complaints received from the Attendees.
The Vendor agrees and acknowledges that any Additional Support Requirements shall be communicated to G4 by the Vendor minimum fifteen (15) days prior to the G4 Event. The cost for such Additional Support Requirement will be payable by the Vendor to G4’s authorized service provider, which shall be communicated over email.
E. Documentation and Compliance:
The Vendor acknowledges and agrees that the Vendor shall be required to furnish a copy of their PAN Card, TAN, GSTIN, license/permit (as applicable), and any other details/documents required as per applicable law and as may be requested by G4, failing which, G4 reserves the right to curtail the entry of the Vendor at the G4 Event, without refunding any amount paid by the Vendor to G4 under the Form.
F. Safety and Hygiene:
The Vendor shall adhere to the highest standard of work, health & safety norms, and practices and shall be proactive in taking such measures as may be required to achieve the same, including but not limited to:
Ensuring that the health and safety of Attendees, other Vendors, and any other third party present at the Venue are not put at risk.
Adhering to the Event and Venue guidelines while undertaking Booth Set-Up Activities, operations, and branding guidelines as shared by G4 from time to time.
Taking special care with equipment wiring, managing electricity load, glow signages, Booth structure, decor, and safety of Attendees, other Vendors, and personnel around the Booth while operating. G4 reserves the right to enforce changes in the operation processes if they feel the safety and deliverables of any person present at the Venue are hampered or at risk.
Following the highest standards of hygiene and cleanliness in their operations, materials, packaging, and presentation steps such as using gloves, maintaining clean work areas, changing water, using dustbins, discarding waste timely, improving Booth odor, waste management, and keeping flies and other foreign objects away from products or services. G4 retains the right to revise the process flow, alter/change the look of the Booth to facilitate hygiene, and/or ask the Vendor to stop selling if hygiene standards and quality of the products or services are poor.
G. Other Responsibilities:
The Vendor shall not allow any other establishment/brand to provide Services or carry out branding/promotional activities in the Booth or Venue allotted to it pursuant to the Booking.
The Venue is strictly a “NO LITTERING” zone, and the Vendor warrants to adhere to this on a strict basis. Smoking shall be allowed at the designated areas at the Venue, which shall be determined by G4 and is subject to change from time to time. G4, at its sole discretion, can restrict access to such designated smoking areas for the Vendor and/or Vendor Staff. G4 also reserves the right to restrict or stop smoking at the Venue.
The Vendor shall be responsible to provide a comprehensive list of all the equipment to be used at the G4 Event by the Vendor minimum fifteen (15) days prior to the Event Start Date.
The Vendor shall comply with the applicable laws on the ban of single-use plastic and shall ensure that neither single-use plastic is used in packing any order nor is any cutlery made from single-use plastic provided with the order. The Vendor agrees and acknowledges that G4 shall reserve the right to cancel all orders that are packed by the Vendor using single-use plastic. Further, any loss suffered by G4 due to the use of single-use plastic by the Vendor, whether on account of any fine imposed by the authorities on G4 or otherwise, shall be recovered from the Vendor.
The Vendor agrees and acknowledges that G4 shall not provide any extra tables or chairs to the Vendor whether at the Booth or in the common seating area. In the event, a Vendor wishes to bring extra furniture like tables, chairs for seating, operations, or any other purpose, then the same shall only be within the Booth area or back area behind the Booth allocated to the Vendor, only with prior written approval from G4 before the G4 Event.
The Vendor shall solely be responsible for any loss or damage to the chairs, water container, or any other furniture provided by G4 to the Vendor. In the event of any loss, damage to the above-mentioned items, the Vendor shall be liable to pay the penalty for such loss and damage specified by G4 at its sole discretion.
The Vendor shall not bring their own generator or temporary power backup source for any Booth unless approved by G4 in writing prior to any G4 Event. In respect of any such equipment or support services that the Vendor wishes to avail, the Vendor shall discuss the same and get it approved by G4 prior to the G4 Event in writing.
The Vendor and/or Vendor Staff are prohibited from playing music at their Booth in any form whether live or recorded through any form of electronic equipment or device without prior approval from G4. G4, at its discretion, reserves the right to stop the Vendor from playing any kind of music or doing any activity at the Booth that may create operational issues or challenges for anyone present at the G4 Event. G4, at all times, reserves the right to confiscate or remove such equipment, item, and/or structure from the G4 Event.
The Vendor or the Vendor Staff is prohibited from entering the VIP area designated by G4 unless instructed by G4 to enter the VIP area to provide the Services.
The Vendor shall not use the Attendees data for sending any unsolicited marketing messages, promotional messages, or announcements during or after the G4 Event.
The Vendor acknowledges and agrees that any asset/equipment/machine, such as POS machines/credit card/debit card swipe machines, bags, etc., provided by the Vendor to the Vendor Staff, shall be at the sole risk of the Vendor. The Vendor further agrees and undertakes that it shall be solely liable if any such asset provided to the Vendor Staff, is damaged or stolen, and G4 shall not be liable to pay any damages to the Vendor for the same and/or bear the cost of the asset.
The Vendor shall ensure to protect and maintain the Attendees’ experience during the G4 Event by accurately displaying the details of the products, services, or properties, including but not limited to item names, pricing, and images in their presentation.
The Vendor shall be responsible to ensure the safety of all the material, equipment, raw material, etc. at the Venue during and post the Event Timings. G4, in no event, shall be liable for any loss, theft, damage, etc. to any material, cash, equipment, raw material, etc. belonging to the Vendor.
The Vendor shall take the cash insurance and/or any other insurance as may be applicable, if so required for their items, materials, equipment, and personal belongings during the G4 Event. G4 shall not be liable to pay any cost on account of loss and/or damages occurred to the Vendor during or post the G4 Event.
The Vendor shall ensure that no professional, SLR, or DSLR or drone cameras or recording (sound or video) equipment shall be permitted in the Venue, and the Vendor is prohibited from bringing any such items to the Venue for recording any part of the G4 Event.
H. Electrical Safety:
The Vendor shall ensure that it lays down its equipment, electrical cables, switchboards, extension cords, furniture, raw materials, packaging materials, etc., in a manner that it does not cause any potential safety risk including electrical or fire safety hazards. G4 and/or its authorized service provider reserve the right to check and inspect the Vendor Booth and/or the back area at any time during the G4 Event or during the Vendor Setup Timings. In the event, G4 and/or its authorized service provider identify something that may result in any potential safety risk including fire safety or electrical safety risk, then G4 and/or its authorized service provider shall suggest corrective and preventive measures that the Vendor has to strictly follow and comply with. In the event, the Vendor does not adhere to make appropriate changes as suggested by G4 and/or its authorized service provider, then G4 reserves the right to stop any activity of display, sales, etc., at the Booth by the Vendor for any duration or the whole G4 Event at G4’s sole discretion.
The Vendor shall not be allowed to directly put live wires into the socket/electricity unit boxes. All equipment and electronic items should have a proper plug, which is a necessity before putting them in the sockets. The Vendor can seek help from G4 in case this issue arises at the G4 Event. The Vendor shall communicate any additional electricity requirement to G4 at least 15 (fifteen) days before the Restaurant Setup Timings.
If a Vendor is using its own electrician, the Vendor shall need to inform G4 in advance, to ensure that the electricity and fire safety team can be consulted on the same.
Many electrical lines would be running in parallel behind the Vendor Booth. The Vendor shall remain careful to not damage any of these lines and setup the Booth backspace based on G4’s instructions from time to time. The Vendor shall bear all costs and damages for any loss caused to G4, due to negligence towards the electrical setup by the Vendor.
The Vendor must not hamper the LED halogen light placed on its respective Booth. Any loss/damage caused to the LED halogen light shall remain the sole responsibility of the Vendor, and any cost incurred by G4 for such loss/damage shall be reimbursed by the Vendor.
The Vendor shall always ensure safety as its top priority for G4, Attendees, other Vendors, and/or any third party.
Any socket outlets, extension cords, plugs, or other connectors exposed to the weather must be protected from water. Socket outlets and plugs must be fire retardant & IP (ingress protection) rated for their location, and the extension lead plugs & socket wires must have appropriate coverings. The Vendor Staff at the Booth and those who would be handling any electrical equipment at any time must wear rubber shoes/footwear and appropriate gloves (if needed) to handle the wires and connections. No naked/cut/open/live wires, plus & sockets are allowed at the G4 Event. The Vendor would need to fulfill these requirements and uphold safety compliances as required by G4 in order to continue seamless operations and provision of Services at the G4 Event. G4 shall not be responsible for any injury to the staff of Attendees, Vendor, Vendor Staff, and/or any other third party from causing any damage to the Booth, Venue, or any material kept at the Venue. The Vendor hereby agrees to indemnify and keep G4 harmless in case of any such injury or damage that takes place at the G4 Event due to Vendor negligence and/or omission towards including but not limited to electrical equipment, wiring, sockets, plugs, lights, etc.
I. Hygiene and Safety Guidelines:
The Vendor must ensure to have a hygienic environment for their operations and cleaning at the Booth.
The Vendor must carry dustbins and biodegradable garbage bags and dump all the wastes in their designated space behind the Booth.
The Vendor shall ensure that the Vendor Staff wears gloves and caps while handling products or services and interacting with Attendees.
All products or services on display must be labeled appropriately, and proper care should be taken to indicate any relevant information (e.g., ingredients, warnings, etc.).
The Vendor Staff shall avoid wearing loose items that might fall into products or services and also avoid touching or scratching their face, head, or hair.
Fuel, detergents, soaps, etc., should be stored in dedicated containers that should be stored away from the product or service handling zone.
All products or services should be covered and protected against dust and dirt.
Leftovers and perishable unsold items should be disposed of hygienically and shall not be reused.
Beards and moustaches may also need to be covered with guarded nets or else must be clean-shaven. The Vendor and Vendor Staff should not wear makeup, bindis, or strong perfume while handling products or services or when in designated handling areas.
Nails of the Vendor Staff must be clean and well-trimmed.
The Vendor and Vendor Staff must wash or sanitize hands at regular intervals during the G4 Event.
The Vendor and Vendor Staff should not eat chewing gum or tobacco, smoke, or demonstrate unhygienic habits while handling products or services or when in designated handling areas.
The Vendor and Vendor Staff should not be suffering from any illness and/or have any uncovered infectious wounds.
All bags and baggage of the Vendor and Vendor Staff must be kept in a separate area away from the product or service handling areas.
Good quality materials shall be used. No expired or spoiled items, non-permitted additives, or excess of permitted additives are to be used.
Countertops, work surfaces, utensils, pots, and pans must be cleaned and sanitized before and after they touch products or services.
No items are to be stored or kept directly on the floor.
The Vendor shall use a clean refrigerator/freezer to maintain products or services at appropriate temperatures.
The Vendor shall not reuse empty packaged drinking water bottles to store any items.
The Vendor shall not keep products or services in an open area for display without proper covering.
The Vendor shall use ice cubes that are of good quality. These ice cubes shall be stored in a clean & hygienic manner.
The Vendor shall adhere to good hygiene practices as issued by relevant authorities or any additional hygiene and safety guidelines or instructions provided by G4 during the G4 Event.
J. COVID-19 Safety Guidelines:
Practise good respiratory etiquette, including covering coughs and sneezes or coughing/sneezing into your elbow/upper sleeve.
The Vendor shall ensure that the Vendor Staff are double vaccinated and must carry their COVID-19 vaccination certificate (physical/digital) with them to the Venue.
Vendor Staff shall keep washing hands with soap and water or clean them with an alcohol-based hand sanitizer frequently.
Vendor Staff shall continue to always exercise all precautionary measures during the G4 Event.
Vendor Staff shall make sure to clean and disinfect surfaces frequently, especially those which are regularly touched during operations.
If any of the Vendor Staff develops signs or symptoms of COVID-19 at the G4 Event, the Vendor shall send such Vendor Staff outside the Venue and/or shall seek immediate medical care and attention.
The Vendor and the Vendor Staff must adhere to the COVID-19 guidelines, as recommended by the State and Central Government, local authorities at all times and should cooperate with the team during the temperature checks at the Venue.
In the event, there are any additional COVID-19 safety guidelines provided by the Venue provider, then the Vendor has to adhere to them as well for the Event Day(s).
G4 reserves the right to deny entry and ask the Vendor and the Vendor Staff to leave the Venue in cases of any visible symptoms of COVID-19.
K. Fire Safety Guidelines:
The Vendor shall use zinc bases for all electrical equipment used at the G4 Event by the Vendor.
The Vendor shall plan the use of electricity load in ways to avoid any kind of fire safety issue, and a safe operating process shall be used to avoid any fire hazards.
The Vendor shall ensure that the firefighting equipment, including a fire extinguisher, is kept at the designated location at the Venue. The Vendor shall ensure that at least one of the Vendor Staff is trained to handle the firefighting equipment.
The Vendor shall ensure that no open-flame operation will be allowed at the G4 Event.
The Vendor must keep operating areas clean and clear of combustibles (i.e., potholders, towels, rags, packaging materials).
IV. Payments
For making a Booking, the Vendor shall make the complete payment towards the Gross Payable Amount within 3 (three) days of signing the Form.
The Vendor shall make the payment towards the Gross Payable Amount in the format as detailed below:
G4 Pay Later: Under this method, the Gross Payable Amount payable by the Vendor to G4 shall be deducted from its ongoing payout (as defined in the agreement executed between the Vendor and G4 for product/service/property listings). The Vendor, on behalf of itself and its affiliates, hereby unconditionally and irrevocably authorizes G4 and all G4 Group Companies to withhold and deduct any amounts payable to the Vendor under any agreement, arrangement, or understanding between the Vendor and any G4 Group Company, and apply such amounts to set-off any amounts owed by the Vendor to G4 under, or in connection with the Form and/or this Agreement. For the provisions of this clause, the term “G4 Group Company” shall be deemed to include its parent company (i.e., Sotor Easy Life Technologies LLP) and any of its affiliates and subsidiaries.
Online Transfer: Under this method, a payment link will be generated via which the Vendor can make payment of the Gross Payable Amount through debit/credit cards, net banking, UPI, and/or any other online wallet options as applicable and available at the time of payment of the Gross Payable Amount.
G4 shall raise tax invoices on the Vendor containing such particulars as may be prescribed under the Goods and Service Tax (“GST”) Act and rules made thereunder, as amended from time to time for the Gross Payable Amount payable by the Vendor.
If, as per the applicable tax laws, the Vendor is liable to deduct TDS on payments made to G4, then the Vendor shall pay such TDS amount from its own pocket and report the same against G4’s PAN. G4 shall refund such TDS amount as deducted and paid by the Vendor upon submission of the TDS Certificate to G4 within 90 days from the end of the quarter in which the Total Booth Rental Fee(s) is paid by the Vendor. In case of non-receipt of TDS credit, G4 has a right to claim such TDS amount as recoverable from the Vendor against the invoice issued.
G4 shall raise appropriate invoice(s) on the Vendor based on the Booth category selected in the Form.
Prior to the execution of the Form, the Vendor shall provide the GST identification number and such other documents as may be required by G4 for the purpose of generating appropriate tax invoices.
V. Cancellation and Refunds
G4 reserves the right to terminate/cancel the Form, at any time prior to the Event Start Date (“G4 Cancellation Period”) without assigning any reason thereof, and in such a case, G4 shall refund 100% (hundred percent) of the Gross Payable Amount or any part thereof that may have been received by G4 from the Vendor under the Form for the G4 Event.
G4 reserves the right to terminate/cancel the Form at any time prior to or during the G4 Event without refunding any amounts whatsoever, including the Gross Payable Amount received by G4 from the Vendor under this Form, if:
G4 determines, in its sole discretion, that the Vendor has violated or is violating any applicable laws; and/or is in breach of any terms of the Form read along with this Agreement.
The Vendor, itself or through Vendor Staff, does not physically report at the Venue at the Reporting Time. In such an event, G4 may, in its sole discretion, cancel the Vendor’s Booth Booking, allot the Booth booked by the Vendor to any third party without any liability towards the Vendor whatsoever.
The Vendor cannot terminate/cancel the Form for a period of 30 (thirty) days prior to the Event Start Date. In the event, the Vendor wishes to terminate/cancel the Form during the aforesaid 30 (thirty) days period prior to the Event Start Date, G4 shall not be liable to refund any amount paid by the Vendor. However, if the Vendor terminates/cancels the Form beyond the 30 (thirty) days period prior to the Event Start Date by providing written notice to G4, in which case G4 will refund 50% (fifty percent) of the Gross Payable Amount that has been paid by the Vendor to G4 as per the Form (“Vendor Cancellation Period”).
VI. Booth Allocation and Layout
The Vendor understands and agrees that Booth allocation shall be within the chosen category as provided under the Form and shall be on a first come, first serve basis.
The Venue layout is subject to change given multiple factors before/during the G4 Event at the sole discretion of G4 based on the overall Event dynamics/aesthetics. Accordingly, G4 reserves the right to change the Venue layout at any time before the Reporting Time, without giving any intimation to the Vendor.
In case of any operational challenges for G4 and/or any third party or risk to the G4 Event, upon discussion with the Vendor, G4 reserves the right to change or modify the location of the Booth booked by the Vendor in any part of the G4 Event.
The Vendor is only allowed to execute the service of products, services, or property display, operations, and setup within the allocated Booth area as per their Booking in the Form.
The Vendor cannot encroach the Booth booked by any other Vendor, or the area or space allocated to any other sponsor at the G4 Event.
VII. Event Access for Vendors
G4 shall provide limited access to the Vendor for the Vendor Staff to manage and operate the Booth for the provision of Services. G4 reserves the right of admission to any area of the G4 Event.
Vendor Staff may not be given access to the entire Venue. The bands/accreditations given to the Vendor Staff by G4 will provide access only to the Vendor’s Booth and specific areas.
Bands given to the Vendor Staff should not be removed/tampered with at any time. Vendor Staff without bands/tampered bands will be denied entry to the G4 Event. The Vendor and the Vendor Staff shall wear the bands at all times during the G4 Event.
The Vendor acknowledges that the movement of their equipment and permissions required for the same is the sole responsibility of the Vendor, and the Vendor is liable for any loss/damage caused to any part of the G4 Event by the act of the Vendor or the Vendor Staff.
G4 shall not be responsible for any loss of or damage to the personal belongings of the Vendor at the G4 Event.
The Vendor shall not bring their vehicle, truck, service vehicle, or any other logistics equipment to the Venue before 12.00 am on any Event Day(s) for stock replenishment or loading or dismantling.
Loading and unloading shall be done only at the designated gate at the Venue. Details of the gate designated for loading and unloading shall be informed by G4 before the Event Start Date. Under no circumstances shall any vehicle of the Vendor be allowed inside the Venue.
Access to the G4 Event Ticket(s) to the Vendor would be limited and would be based on the guidelines shared with the Vendor before the Event Start Date.
The Vendor shall not be allowed access to restricted and reserved areas of the G4 Event, which would be determined from time to time by G4 for each Event. G4 solely reserves the right of admission to the G4 Event and/or any other restricted or reserved areas of the Venue for each Event.
G4 reserves the right to cancel, at its discretion, the access of any of the Vendor Staff for reasons including but not limited to breach of the code of conduct, misbehavior, violation of Event Guidelines, etc.
G4 reserves the right to check the equipment, raw materials, bags, and other items of the Vendor for safety and security purposes. The security check can be done before or during the G4 Event, without any prior intimation to the Vendor.
G4 reserves the right to perform security checks on the Vendor and/or Vendor Staff at the entry point or at any other time at the G4 Event, including frisking, and refusing admission or evicting the Vendor and/or Vendor Staff for reasons of security.
VIII. Branding and Collateral Placement
G4 shall provide a Standard Name Plate (“Name Board”) that would be mounted/put at the center top of the canopy to the Vendor.
The Vendor can choose to put the board given by G4 or put their own board at the G4 Event with minimum one (1) week prior intimation to G4 before the G4 Event, subject to approval by G4 at its sole discretion.
The Name Board shall have the Vendor’s brand name, indicating the Stall categorization in terms of products, services, or properties, as determined by G4.
If required by the Vendor, and upon receiving a written request, G4 may share a soft copy of the print file of the Name Board with the Vendor for reference.
The Vendor may bring some print collaterals, display boards, signages, etc., for display in their Booth area, but such material and their placement are subject to approval from the G4 team at the G4 Event.
The Vendor shall use eco-friendly, recycled paper or even seed paper, including but not limited to display boards, posters, and any other print collaterals for display in their Booth area.
If G4 deems any material, standee, mascot, collateral, or item placement by the Vendor is creating operational risks or challenges for the G4 Event or any other Vendor or obscuring the view/visibility of other Vendors, then upon instructions from G4, the Vendor shall remove them from the said area.
The Vendor shall not be allowed to distribute flyers, samples of products/services/properties, have mascots, standees outside their Booth, or have branding material without prior consent from G4.
Any distribution, marketing, or other activities that the Vendor wishes to conduct other than the display and promotion of their products, services, or properties, must be approved by G4 prior to the G4 Event in writing.
The Vendor shall ensure that the placement of any material, equipment, standees, signages, displays, etc., must be done with utmost safety and should not cause damage to any property or anyone’s health.
For placement of in-lit signages, displays, additional lights, and props, the Vendor shall discuss the same with the G4 team and the execution team on the ground handling the canopies and other provisions.
IX. Electrical Safety Guidelines
The Vendor shall ensure that it lays down its equipment, electrical cables, switchboards, extension cords, furniture, raw materials, packaging materials, etc., in a manner that it does not cause any potential safety risk, including electrical or fire safety hazards. G4 and/or its authorized service provider reserve the right to check and inspect the Vendor Booth and/or the back area at any time during the G4 Event or during the Vendor Setup Timings. In the event, G4 and/or its authorized service provider identify something that may result in any potential safety risk including fire safety or electrical safety risk, then G4 and/or its authorized service provider shall suggest corrective and preventive measures that the Vendor has to strictly follow and comply with. In the event, the Vendor does not adhere to make appropriate changes as suggested by G4 and/or its authorized service provider, then G4 reserves the right to stop any activity of display, sales, etc., at the Booth by the Vendor for any duration or the whole G4 Event at G4’s sole discretion.
The Vendor shall not be allowed to directly put live wires into the socket/electricity unit boxes. All equipment and electronic items should have a proper plug, which is a necessity before putting them in the sockets. The Vendor can seek help from G4 in case this issue arises at the G4 Event. The Vendor shall communicate any additional electricity requirement to G4 at least 15 (fifteen) days before the Restaurant Setup Timings.
If a Vendor is using its own electrician, the Vendor shall need to inform G4 in advance, to ensure that the electricity and fire safety team can be consulted on the same.
Many electrical lines would be running in parallel behind the Vendor Booth. The Vendor shall remain careful to not damage any of these lines and setup the Booth backspace based on G4’s instructions from time to time. The Vendor shall bear all costs and damages for any loss caused to G4, due to negligence towards the electrical setup by the Vendor.
The Vendor must not hamper the LED halogen light placed on its respective Booth. Any loss/damage caused to the LED halogen light shall remain the sole responsibility of the Vendor, and any cost incurred by G4 for such loss/damage shall be reimbursed by the Vendor.
The Vendor shall always ensure safety as its top priority for G4, Attendees, other Vendors, and/or any third party.
Any socket outlets, extension cords, plugs, or other connectors exposed to the weather must be protected from water. Socket outlets and plugs must be fire retardant & IP (ingress protection) rated for their location, and the extension lead plugs & socket wires must have appropriate coverings. The Vendor Staff at the Booth and those who would be handling any electrical equipment at any time must wear rubber shoes/footwear and appropriate gloves (if needed) to handle the wires and connections. No naked/cut/open/live wires, plus & sockets are allowed at the G4 Event. The Vendor would need to fulfill these requirements and uphold safety compliances as required by G4 in order to continue seamless operations and provision of Services at the G4 Event. G4 shall not be responsible for any injury to the staff of Attendees, Vendor, Vendor Staff, and/or any other third party from causing any damage to the Booth, Venue, or any material kept at the Venue. The Vendor hereby agrees to indemnify and keep G4 harmless in case of any such injury or damage that takes place at the G4 Event due to Vendor negligence and/or omission towards including but not limited to electrical equipment, wiring, sockets, plugs, lights, etc.
X. Intellectual Property Rights
The Parties hereby agree that all Intellectual Property Rights shall be in absolute ownership, possession, and control of G4, and the Vendor is only permitted to use such Intellectual Property Rights in connection with Services rendered under this Agreement as are specifically permitted by G4. The Parties hereby clarify that no license or rights are granted in the Intellectual Property Rights to the Vendor under this Agreement, by implication or otherwise.
Notwithstanding anything contained in this Agreement, in the event the Vendor uses the Intellectual Property Rights in such a manner so as to license, sub-license, create derivative Intellectual Property Rights, or use it otherwise not being in connection with Services rendered under this Agreement, the same shall constitute a breach of this Agreement, and G4 reserves its rights to resort to legal proceedings against the Vendor for recovering damages and losses suffered or likely to be suffered.
XI. Representations and Warranties
11.1 The Vendor represents and warrants as follows:
The Vendor is capable of entering into the present Agreement, pursuant to the Indian Contract Act, 1872, and is not below the age of 18 years as on the Effective Date.
All Vendor Information provided shall be true and correct, and no information that could impact the Vendor’s performance to render Services pursuant to this Agreement shall not be hidden from G4 anytime during the subsistence of this Agreement.
The Vendor has not been convicted by any court in India or any other country of any crimes, including but not limited to those involving moral turpitude. Further, the Vendor is not a party to any pending litigation, which shall materially affect their obligations under this Agreement.
11.2 G4 hereby represents and warrants as follows:
It is fully capable of executing this Agreement and has the necessary authority.
It shall not exercise operational supervision on the activities of the Vendor as they are free to determine how to render Services so long as G4’s reputation and goodwill are not damaged.
XII. Termination
12.1 G4 reserves the right to terminate this Agreement and deny the Vendor access to the G4 Platform at any time for any reason. The date on which the Vendor’s access to the G4 Platform is intentionally blocked by G4 shall be considered as the Termination Date of this Agreement.
12.2 Without prejudice to the generality of the foregoing clause, G4 reserves the right to terminate this Agreement with immediate effect for:
Any breach of the terms of this Agreement by the Vendor.
Failure to verify or authenticate Vendor Information.
Any action or omission by the Vendor that can cause legal or contractual liability for G4, including but not limited to fraudulent conduct, customer complaints, continuous unsatisfactory reviews by Service Provider Partners, or Property Owners, misconduct, negligence, and all other actions specifically prohibited under Applicable Law.
G4 is also at liberty to terminate the contract at its discretion, where, in its opinion, the continuance of the services of the Vendor is detrimental to the business interest of G4 due to the acts of the Vendor, such as the following:
Misbehavior, rude behavior with the staff of G4, Service Provider Partners, Property Owners, Customers, or any other persons associated with G4.
Any acts involving criminal offenses punishable under law, including physical assault, threatening any of the staff of G4, persons associated with G4, and any other persons.
Concealment of fact/material information while entering into a contract with G4.
Poor & irregular attendance for work, meetings, and failure to abide by the rules/terms of the contract.
Being drunk while on duty and drunken behavior.
Poor performance for two consecutive weeks. Performance includes – daily productivity, login hours, idle hours, number of deliveries completed, quality standards such as denying/fast forwarding/canceling the order placed by a Service Provider Partner or Property Owner.
Commission of fraud/misappropriation/embezzlement for undue monetary gain, which is against the interest of G4.
Negligence in performing the duty, causing damage of moveable and immoveable assets of G4, its employees, Customers.
Indulging in spreading content through digital media, social networking sites, or any other form, which could be detrimental to G4’s brand and its image.
Indulging in acts such as creating ruckus/strike/or any activity against G4, which could be detrimental to G4’s brand and its image.
Indulging in unauthorized disclosure of Confidential Information of G4 to an external agency, person, or organization.
Misuse of assets provided by G4 and welcome kits, which could be detrimental to the interest of G4’s brand and its image.
Absconding for more than 4 hours with any asset, delivery item, money, or any other valuable item belonging to G4, its employees, Customers, Service Provider Partners, Property Owners, and/or other staff member(s).
Failure to abide by any of the rules and guidelines given by G4 as part of service quality standards and principles.
Doing any act unbecoming of a Vendor.
In case the background check, whether wholly or partially, is found negative at any point of time during the term of this Agreement.
12.3 Upon termination of this Agreement, the Vendor shall return the assets, within 24 hours from the Termination Date. In case the Vendor fails to do so, G4 shall forfeit the Security Deposit (if any) and shall further reserve the right to set-off the cost of assets against the payments required to be made by G4 to the Vendor under the Agreement.
12.4 Notwithstanding anything contained in this Clause, G4 reserves the right to recover any amounts due and owed by the Vendor and take appropriate legal actions that may be available under Applicable Law and equity for recovery of any amounts due.
12.5 In the event, the Vendor leaves or absconds, the provision of Clauses 9.3, 9.4, or Annexure A to this Agreement shall apply.
12.6 In case the Vendor intends to terminate this Agreement on their own, they have to intimate G4 in advance by giving a fifteen (15) days prior notice in writing, their intention to terminate the contract.
XIII. Inactivity
Failure to log-in to the G4 Platform for a continuous period of 15 days will lead to the account of the Vendor being made inactive. To re-activate the account, the Vendor can, through the support section of the G4 Platform application, request such reactivation of their account. The re-activation shall be subject to the requirement of Vendors in the area of operation of the Vendor. The Vendor, through the G4 Platform, can create a request to be intimated when such a requirement arises.
XIV. Compliance with Applicable Law
The Vendor agrees and consents to comply with all Applicable Law at all times while providing the Services and while accessing the G4 Platform.
XV. Amendment
G4 reserves the right to change, modify, reinstate, amend, or delete any terms and conditions contained in this Agreement, without prior notice, at any time and in its sole discretion, by posting a change notice or a new agreement on the G4 Platform. The Vendor shall be responsible for keeping themselves apprised and informed of the revised terms and conditions at all times.
XVI. Relationship of the Parties
The Vendor is an independent business contractor, and this Agreement constitutes a principal-to-principal contract. It shall not create any partnership, joint venture, employment, agency, franchise, sales representative, or any vicarious and absolute liability relationship between the parties. It is clarified between the parties that neither party shall be liable for any action or omission of the other party in any manner. It is clearly understood and agreed that under this Agreement, no relationship of employer and employee exists between G4 and the Vendor. The Vendor shall not have any claim for permanent employment or employment benefits under any statutes/local laws.
XVII. Indemnification and Limitation of Liability
You agree and undertake to indemnify and hold harmless G4, its affiliates, successors, agents, assigns, and each of their directors, officers, employees, associates, agents, and representatives, or any third party from and against any losses, damages, liability, claims, costs, penalty, and expenses (including, without limitation, reasonable attorneys’ fees) incurred by reason of:
Any breach or alleged breach by you of your obligations, performance, or observance of your role, functions, responsibilities, representations, or warranties under this Agreement.
Any violation of G4’s policies.
Any act or omission that causes or may cause harm to the reputation and goodwill of G4.
Any claim of violation of intellectual property of G4 or any third party by your usage of Intellectual Property Rights in a manner not permitted under this Agreement.
Your misconduct or unauthorized access or use of the Customer data on the G4 Platform or by the transferring of such data to any third party or unauthorized disclosure or use of Confidential Information of G4.
Any act of theft, fraud, negligence, and misconduct by you.
Any damage to the Service Provider Partner’s or Property Owner’s property or any asset.
Any misbehavior towards the Service Provider Partner, Property Owners, Customers, or G4 and its employees, or tampering with the products, services, or properties while performing the Services.
You shall be liable to indemnify and hold G4 harmless against all damages, losses, costs, and expenses incurred by G4 as a consequence of any complaint from any Customer and/or Service Provider Partner or Property Owner received by G4 with respect to any error or deficiency in the Services.
In addition to the indemnification rights of G4 under this Agreement, G4 shall also be entitled to such other remedies available under Applicable Law for breach of contract where time is of essence.
In no event will G4 be liable for any losses arising from or in connection with this Agreement, pursuant to any claim by the Vendor against G4 under contract, tort, or otherwise, if such losses could have been avoided by the Vendor using reasonable efforts to mitigate them. Further, G4 shall also not be liable to the Vendor in contract, tort, or otherwise for indirect, special, incidental, exemplary, punitive, or consequential damages of any kind whatsoever even if advised of the possibility of such damages. Notwithstanding anything contrary contained elsewhere in the Agreement, the total cumulative liability of G4 to the Vendor or to any person claiming under contract, tort, or otherwise, shall not exceed an amount of INR 10,000/- (Rupees Ten Thousand only).
G4 shall not be responsible or liable for any loss or damage, howsoever caused or suffered by the Vendor arising out of the use of the Platform Services offered by G4 to the Vendor directly or indirectly, for any reason whatsoever, including but not limited to damage or loss caused to the Vendor as a result of a Service Provider Partner or Property Owner’s non-compliance, which includes, but is not limited to, any incorrectly placed voice instructions, malfunction, partial or total failure of any network terminal, data processing system, computer tele-transmission or telecommunications system, or other circumstances whether or not beyond the control of G4 or any person or any organization involved in the above-mentioned systems. Without prejudice to the above, G4 shall not be liable for any direct or indirect loss or damage, which may be suffered by the Vendor as a result of any failure by a Customer to show up within any stipulated time even if G4 has agreed to such timing or even if the Customer has advised G4 of the possibility that they may not show up within the stipulated time.
XVIII. Specific Indemnity
The Vendor shall be solely liable for any and all accidents/incidents involving the Delivery Partner Vehicle, while providing the Services. G4 shall not be held liable for any such accidents/incidents involving the Vendor.
XIX. Set-Off
In addition to any other remedies provided under a contract including this Agreement or provided by law or in equity, G4 may, at any time, without notice to the Vendor, set off any liability of the Vendor to G4 against any liability of G4 to the Vendor, whether either liability is present or future, liquidated or unliquidated, and whether or not either liability arises under this Agreement.
XX. Dispute Resolution
This Agreement shall be governed by the laws of India. The courts of Nagpur, Maharashtra shall have exclusive jurisdiction over all disputes arising from this Agreement.
XXI. Penalty
Notwithstanding anything contrary contained in this Agreement, G4 shall reserve the right to charge you a penalty in the event you indulge in fraudulent activities while providing Services. The penalty may be deducted from the payments made to you by G4.
XXII. Miscellaneous
Force Majeure: Neither Party shall have any liability under or be deemed to be in breach of this Agreement for any delays or failures in performance of this Agreement which results from circumstances beyond the reasonable control of that Party such as acts of god, fire, earthquake, tempest, flood, lighting, violence of any army or mob, or enemies of the country.
Assignment: No rights or liabilities under this Agreement can be assigned by any of the Parties hereto without the prior written consent of the other Party.
Entire Agreement: This Agreement supersedes all prior discussions and agreements (whether oral or written) if any, between the Parties with respect to the subject matter of this Agreement.
Term: This Agreement shall, unless specifically terminated in accordance with the provisions contained herein, be valid and effective from the date of the execution of the Agreement till such time that the Vendor continues to remain enlisted with the G4 Platform.
Waiver: No waiver of any part of this Agreement or consent to any departure from it by any Party shall be effective unless it is in writing. A waiver or consent shall be effective only for the purpose for which it is given. No default or delay on the part of any Party in exercising any rights, powers, or privileges operates as a waiver of any right, nor does a single or partial exercise of a right exclude others.
Severance: Any provision of this Agreement which is invalid or unenforceable shall be ineffective to the extent of such invalidity or unenforceability, without affecting in any way the validity, legality, and enforceability of the remaining provisions hereof.
XXIII. Confidentiality
Other than for the purpose of undertaking Services, the Vendor must not disclose any confidential information about G4, including but not limited to this Agreement, its business strategies, pricing, revenues, expenses, Customer data, Service Provider Partner data, Property Owner data, and order information to third parties.
XXIV. Disclaimer
G4 does not warrant that you will be able to use the G4 Platform and/or will be able to provide the Services at all times or locations on the G4 Platform or that the G4 Platform and the Platform Services will be uninterrupted or error-free or that the defects will be capable of being corrected by G4 in a timely fashion. The Platform Services, G4 Platform, Device, the output generated therefrom, and all other technology developed by G4 are provided to you on an “AS IS” and “AS AVAILABLE” basis, and G4 specifically disclaims all warranties and indemnities, express, implied or statutory, including without limitation any warranty of merchantability, fitness for a particular purpose, accuracy, completeness, or any other warranty arising from the course of performance or course of dealing.
XXV. Annexure A
a) Onboarding Fee: As prescribed by G4 from time to time.
b) Security Deposit: As prescribed by G4 from time to time.
At the time of onboarding, the Vendor shall pay either of:
(i) the Onboarding Fee, or
(ii) Security Deposit, at the sole discretion of G4.
c) Training and Support Fee: As prescribed by G4 from time to time.
d) The Vendor hereby acknowledges and agrees that any amount deposited by the Vendor to G4 in the form of Security Deposit shall stand forfeited at the sole discretion of G4, in the event the Vendor does not display or provide its products, services, or properties at least one time pursuant to the Services under the Agreement for a continuous period of 30 days during the term of the Agreement.
